1. Applicability

These terms and conditions apply to all quotations, agreements, and services of The Outward Look (consultancy, workshops, training, and coaching), excluding the client’s purchasing conditions.

2. Quotations and Formation

Quotations are valid for 30 days and without obligation, unless stated otherwise. An agreement is established after written confirmation (including by email) or when execution has commenced with the client’s consent. Modifications are only binding after written confirmation.

3. Execution and Third-Party Engagement


The Outward Look provides a best-efforts obligation and determines the method of execution.

4. Rates, Invoicing, and Payment

Unless stated otherwise, rates exclude VAT and additional costs (travel/accommodation).
Invoicing: as per quotation (for multi-day training: in advance or during the first week).
Payment term: 30 days after invoice date. Late payment incurs statutory (commercial) interest and reasonable collection costs, and services may be suspended.

5. Cancellation/Rescheduling – Open Training Sessions

> 30 calendar days before start: free cancellation/rescheduling.
30 to 1 calendar day before start: 50% of the training fee.
After start: cancellation not possible; a replacement participant with similar learning needs is permitted.
Rescheduling individual days in multi-day training may incur administration and venue costs.

6. Cancellation/Rescheduling – In-Company, Coaching & Consultancy

After assignment, there is an 8-working-day reflection period (free cancellation).
Free rescheduling up to 30 calendar days before planned deployment (max. 3 months postponement).
Rescheduling within 30 days: 50% of the daily rate; within 1 day: 100% of the daily rate.
After start, cancellation is not possible; preparation, material, and venue costs already incurred will always be charged.

7. Intellectual Property & Usage

All (training) materials, models, and templates remain the property of The Outward Look or its licensors. Client receives a non-exclusive, non-transferable license for internal use. Reuse outside the assignment or publication is not permitted without written consent.

8. Confidentiality & Personal Data (GDPR)

Parties treat each other’s information confidentially and use it solely for the execution of the agreement.
If The Outward Look acts as a processor, a data processing agreement will be concluded.

9. Liability

Liability for indirect damage (consequential damage, loss of profit) is excluded.
For direct damage, liability is limited to the invoice amount of the relevant assignment (maximum of the last three months), or – if lower – the amount paid out under professional liability insurance.
Client indemnifies against third-party claims related to information provided or choices made by the client.

10. Force Majeure

In case of force majeure (including illness, pandemics, strikes, government measures, facility failures), parties are not obliged to fulfill obligations; commitments are suspended and reasonably rescheduled.

11. Complaints

Client reports complaints within 14 days of discovery, in writing and with motivation. The Outward Look aims to resolve issues within a reasonable timeframe.

12. Applicable Law & Competent Court

Dutch law applies.
Disputes shall be exclusively submitted to the competent court in The Hague.
